Terms of Service

These Terms of Service ("Terms") govern your access to and use of AuthBinder's website, platform, APIs, SDK, Power Platform connector, and related services (collectively, the "Services"), provided by AuthBinder ("AuthBinder", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

AuthBinder provides an AI agent audit platform that captures telemetry from AI agents, scores behavioural risk, and delivers structured compliance reports. Our Services include:

• APIs and SDK for telemetry ingestion
• A Power Platform connector for Microsoft Copilot Studio and Power Automate
• Web-based analyst console and reporting tools
• Documentation and support

We may update, modify, or discontinue features of the Services from time to time with reasonable notice where practicable.

To use the Services, you must:

• be at least 18 years old
• be acting on behalf of a business or organisation where applicable
• have the authority to enter into these Terms on behalf of that organisation
• not be located in a jurisdiction where use of the Services is prohibited by law

AuthBinder offers the following audit packages:

• Baseline Audit — 48-hour observation window
• Business Audit — 14-day observation window

Each package includes telemetry collection, risk scoring, findings generation, and delivery of a written audit report. The scope of each package is as described on our website at the time of purchase.

Audit reports are prepared based on telemetry data captured during the observation window. AuthBinder does not guarantee that all agent activity will be captured, particularly where integrations are misconfigured or where the customer's agent does not call the relevant SDK or connector actions.

You agree not to:

• use the Services for unlawful, harmful, or fraudulent purposes
• attempt to gain unauthorised access to our systems, data, or infrastructure
• interfere with or disrupt the Services or the experience of other customers
• reverse engineer, decompile, or extract source code from the Services (unless permitted by law)
• use the Services to build a product that directly competes with AuthBinder
• submit data to the Services that you do not have the right to share
• misrepresent the source or nature of data submitted to the Services

You are responsible for ensuring your use of the Services complies with all applicable laws and regulations, including data protection and privacy laws.

You are responsible for:

• how you configure and deploy the AuthBinder SDK and connector
• ensuring you have appropriate rights and consents to submit agent telemetry to AuthBinder
• defining what agent activity is captured and sent to the Services
• ensuring appropriate security controls within your own systems
• all activity performed through your account, API keys, or integrations

AuthBinder provides tools for observation and reporting. You remain solely responsible for the behaviour of your AI agents and any actions they take.

If you create an account or receive API credentials, you must:

• provide accurate and complete information
• maintain the confidentiality and security of your credentials
• not share API keys across separate organisations or customers
• notify us immediately of any suspected unauthorised access at support@authbinder.com

We may suspend or terminate access if we believe your account is compromised, misused, or used in violation of these Terms.

Audit packages are purchased through our authorised payment partners. Payment is due at the time of purchase.

Given the nature of our services (time-bound observation windows), refunds are not available once the audit window has commenced. If you experience a technical issue that prevents data collection, please contact support@authbinder.com within 48 hours of purchase and we will assess your situation on a case-by-case basis.

All prices are exclusive of applicable taxes unless stated otherwise.

AuthBinder retains all rights, title, and interest in the Services, including all software, technology, branding, documentation, and audit methodologies.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms.

Audit reports delivered to you are your property. You may use, share, and publish them as you see fit.

You retain ownership of any data you submit to the Services. By submitting data, you grant AuthBinder a limited licence to process it for the purpose of providing the Services.

We process data in accordance with our Privacy Notice, available at authbinder.com/privacy.

You acknowledge that:

• you are responsible for ensuring you have appropriate consent or legal basis to submit agent telemetry to AuthBinder
• you must not submit personal data beyond what is necessary for audit purposes
• you must not configure the SDK or connector to submit content data (e.g. email bodies, prompts, customer records)
• no system is completely secure and security outcomes depend in part on how you implement the Services

Your use of the AuthBinder connector for Microsoft Power Platform is subject to both these Terms and Microsoft's applicable terms of service.

AuthBinder is not affiliated with Microsoft Corporation. Microsoft does not endorse, support, or warrant the AuthBinder connector or Services.

AuthBinder may integrate with or reference third-party systems, APIs, or tools. We are not responsible for:

• the availability, accuracy, or security of third-party services
• how third parties process your data
• any loss or damage arising from your use of third-party services

Your use of third-party services is subject to their own terms and privacy policies.

The Services are provided "as is" and "as available" without warranty of any kind.

To the fullest extent permitted by applicable law, AuthBinder disclaims all warranties, express or implied, including:

• fitness for a particular purpose
• merchantability
• uninterrupted or error-free operation

AuthBinder does not warrant that:

• the Services will capture all agent activity in all configurations
• audit reports will identify every risk or compliance issue
• the Services will meet your specific regulatory requirements

To the maximum extent permitted by applicable law, AuthBinder will not be liable for:

• indirect, incidental, special, or consequential damages
• loss of profits, revenue, data, or business opportunity
• business interruption
• costs of substitute services

Our total cumulative liability under these Terms will not exceed the fees paid by you to AuthBinder in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

You agree to indemnify, defend, and hold harmless AuthBinder and its officers, directors, employees, and agents from any claims, losses, damages, and costs (including reasonable legal fees) arising from:

• your use of the Services
• your configuration or integration of the SDK or connector
• your violation of these Terms
• your breach of applicable law
• any data you submit to the Services

We may suspend or terminate your access to the Services with notice if:

• you breach these Terms and fail to remedy the breach within 7 days of notice
• your use creates material risk to AuthBinder, our infrastructure, or other customers
• we are required to do so by law

You may stop using the Services at any time. Termination does not entitle you to a refund unless expressly stated.

On termination, your right to access the Services ceases. We will retain and then delete your data in accordance with our Privacy Notice.

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or by posting a notice on our website.

Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the courts of New Zealand for the resolution of any disputes.

Before commencing formal proceedings, both parties agree to attempt to resolve disputes informally by contacting support@authbinder.com. We will attempt to resolve the matter within 30 days.

• These Terms constitute the entire agreement between you and AuthBinder regarding the Services
• If any provision of these Terms is found unenforceable, the remaining provisions remain in full force
• Our failure to enforce any provision does not constitute a waiver of our rights
• You may not assign your rights under these Terms without our prior written consent
• We may assign our rights in connection with a merger, acquisition, or sale of assets
